Thank you for taking the time to read the VIDA Global Inc. (“VIDA”, “we”, “our”,  or “us”) privacy policy (the “Privacy Policy”). This Privacy Policy sets out how we collect, use, process, store, and disclose your personal information on https://vida.io (the “Website”), on our mobile app (the “App”), and in providing our enterprise AI agent call services platform and related services (the “Services”). By accessing and using our Website, App, or Services you freely and expressly consent to the collection, use, processing, storage, and disclosure of your personal information as set out in this Privacy Policy.

  1. Sources of Personal Information

We may collect personal information that you provide when you:

  • Register for our Services.
  • Use our Services. For example, we may collect personal information when you interact with Vida Agents (defined below) or test agents on the Website.
  • Visit our Website or App. For example, we may automatically collect personal information when you navigate our Website through cookies and other tracking technologies.
  • As a business customer, sign up for our email newsletter, enter your email for promos/offers, or other customer marketing communications.
  • Interact with our social media accounts such as liking, commenting, or direct messaging our profiles.
  • Participate in demonstrations or calls with our sales team.
  • Otherwise contact us.

  1. Categories Of Personal Information We Collect

Information you provide:

  • Account details. We may collect your name, username, email address, billing address, and phone number.
  • Information from your inquiries into our Services. You may provide information when you inquire into our Services, or otherwise indicate you may be interested in our Services, which may include providing us with your name, work email, phone number, company name, position title, and website.
  • Financial and payment information. We may collect financial information such as credit and debit card numbers. 
  • VIDA Agent information. We may collect information about individuals interacting with our AI call agents (“Vida Agent(s)”), including calls to your selected phone number; texts to your selected phone number; appointment details collected by your Vida Agent such as time, date, and descriptions; contact information related to your calls, texts, and appointments, such as name, phone number, and business information; calendar information; and other personal information that may be provided by you while interacting with Vida Agents.
  • Potential customer data. We may collect information about customers that attend webinars or conferences, including contact information such as name, phone number, business email, and business information; LinkedIn profile information; and engagement information.
  • Business firmographic data. We may collect business contact data and company-level information to evaluate business opportunities, partnerships, and customer eligibility.

Information we automatically collect:

  • Mobile data from your use of the App. We may request access or permission to track location-based information from your mobile device, either continuously or while you are using our mobile application(s), to provide certain location-based services. If you wish to change our access or permissions, you may do so in your device's settings.
  • Metadata and analytics for your use of our Website, App, and Services. We may collect IP address, device information, date/time of visits, new or returning visits, products viewed, page response times, URL clickstreams, how long you stay on our pages, what you do on those pages.
  • Cookies and other tracking technologies. We may use cookies, beacons, pixel tags, and other similar technologies to collect additional information automatically as you interact with the Services and to personalize your experience with our Services. Learn more about our cookie use below.

Information from third parties:

In order to enhance our ability to provide relevant marketing, offers, and services to you and update our records, we may obtain information about you from other sources, such as public databases, joint marketing partners, affiliate programs, data providers, social media platforms, and from other third parties. This information includes:

  • Potential customer data. We may collect information about potential business customer data such as mailing addresses, job titles, email addresses, phone numbers, and behavior data.
  • Social Media data. When you interact with our accounts on our community forums or through our brand or community forums on a social media platform, we may collect certain information that you or the platform make available to us such as demographic information and Website metadata analytics (above), your social media account ID, your social media ‘likes’, click-throughs to our Website, or custom interactions.
  • Calendar information. If you grant access for us to read and send calendar events from your calendar account, we may read and store calendar events. This includes names, email addresses, and calendar event content.

We may also make inferences about you such as your interests that we believe are relevant to you and your household based on the information we have collected. 

  1. Business Purposes for Collecting Personal Information

We use the personal information we collect for the following purposes:

  • To provide and improve our Website, App, and Services.
  • To generate conversation summaries, including call metadata, objectives or tasks, and any additional information requested by the customer.
  • To process payments securely.
  • To respond to inquiries.
  • For customer support.
  • To communicate with you, including via our newsletter and SMS. 
  • For marketing and advertising, including for personalization, campaign management, lead scoring and enrichment, and retargeting. 
  • For other business and legal purposes, such as to detect and prevent fraud, to collect amounts owing to us, and to maintain business records.

We may otherwise process personal information with your consent.

  1. How We Disclose Your Personal Information

We may disclose your information with your consent. We may also disclose your information with our corporate affiliates, as well as vendors or service providers who:

  • Help us communicate with you. For example, we disclose your information to HubSpot, Inc. who helps us provide communications.  
  • Manage and optimize our Website, App, and Services. For example, we use both in-house and third-party AI technologies to provide our Services. 
  • Provide marketing and advertising services. For example, our Website and App may display a third-party hosted "offer wall." Such an offer wall allows third-party advertisers to offer virtual currency, gifts, or other items to users in return for the acceptance and completion of an advertisement offer. Such an offer wall may appear in our application(s) and be displayed to you based on certain data, such as your geographic area or demographic information. When you click on an offer wall, you will be brought to an external website belonging to other persons and will leave our application(s). A unique identifier, such as your user ID, will be shared with the offer wall provider in order to prevent fraud and properly credit your account with the relevant reward.

In addition, we may disclose your personal information:

  • For legal purposes, including to protect the legal rights of our company, our employees, our agents, and our affiliates; protect the safety and security of our customers; detect and protect against fraud; and comply with law or legal process.
  • As part of a business transition. For example, we may disclose your personal information with prospective purchasers exclusively to evaluate the proposed transaction; and companies that buy the assets or stock in us. Such companies may use and disclose personal information for purposes similar to those described in this Privacy Policy.

We may disclose de-identified, aggregate, or anonymous information for any purpose. This means that the information we disclose does not identify specific individuals, nor is combined with other data to protect your privacy.

You have the right to exercise the following choices with our use of your personal information:

  • Access the personal information we maintain about you. 
  • Delete the personal information we maintain about you. 
  • Correct inaccurate personal information we maintain about you
  • Opt out of certain uses of your personal information, notably:
  • Email marketing. You can unsubscribe from our email list by clicking the unsubscribe link at the bottom of marketing emails.
  • SMS marketing. You can opt out at any time by replying STOP.
  • Targeted advertising using cookies or emails. Please refer to the ‘Use of Cookies and Tracking Technologies’ section below to learn how to opt out of tailored ads. 
  • Push notifications. We may request to send you push notifications regarding your account or certain features of the application(s). If you wish to opt out from receiving these types of communications, you may turn them off in your device's settings.

  1. Use Of Cookies And Tracking Technologies

Like many companies, we use cookies and similar technologies (such as clear gifs, web beacons, tags, and similar technologies) to collect information about your browsing activities, your interactions with websites, including ours, and our Services, and to serve tailored ads and for the purposes described in this Privacy Policy. There are a number of ways to opt out of having your online activity and device data collected through these services, which we summarize below:

  • Opting out of cookie use in our Cookie Preferences Center. You can opt out of cookies via our cookie preferences center. You may also opt out by broadcasting an Opt-Out Preference Signal, such as the Global Privacy Control (“GPC”) (on the browsers and/or browser extensions that support such a signal). To download and use a browser supporting the GPC browser signal, by visiting https://globalprivacycontrol.org/orgs. If you choose to use the GPC signal, you will need to turn it on for each supported browser or browser extension you use.
  • Tailored Advertising Using Your Email Address. If we have collected your email address, it may be used for tailored advertising on other websites, including through social media. To opt out of this use, please email us at privacy@vida.io. 
  • Blocking Cookies In Your Browser. Most browsers let you remove or reject cookies, including cookies used for interest-based advertising. To do this, follow the instructions in your browser settings. Many browsers accept cookies by default until you change your settings.   • Advertising Industry Opt-Out Tools. You can also use these opt-out options to limit use of your information for interest-based advertising online or in apps by visiting http://optout.aboutads.info for U.S. residents, and https://www.youronlinechoices.eu/ for EU/UK residents. 
  • With Each of Our Vendors Individually. The following advertising or marketing services partners offer opt-out features that let you opt-out of use of your information for interest-based advertising or profiling:

Please note that because these opt-out mechanisms are specific to the device or browser on which they are exercised, you will need to opt out on every browser and device that you use.

  1. Security

We protect information we collect about you by maintaining physical, administrative, and technical safeguards designed to prevent unauthorized access to user data retained in our servers, however, due to the inherent open nature of the Internet, we cannot ensure or warrant the security of any information provided online. We take reasonable precautions to protect your information both online and offline. The servers on which we store data are kept in a secure environment.

  1. Retention

We will only keep your personal information for as long as it is necessary for the purposes set out in this privacy notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). No purpose in this notice will require us to keep your personal information for longer than the period of time in which users have an account with us.

When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

  • Opt out of the ‘sale’ or ‘share’ of your personal information for targeted advertising. We do not ‘sell’ or ‘share’ your personal information for monetary benefit. However, some third-party cookies placed on our Website may be considered a ‘sale’ or ‘share’ under these privacy laws. You may opt out of such cookies via our cookie preference center.

  • Sensitive personal information. We may request access or permission to track location-based information from your mobile device, either continuously or while you are using our App, to provide certain location-based services. If you wish to change our access or permissions, you may do so in your device's settings.

Appeal:

If we deny your privacy request, you may appeal that decision by emailing us at privacy@vida.io. If, after we have processed your appeal, you are still unsatisfied with our response, you have the right to file a complaint with your state attorney general.

Controller/Business Designation:

We operate as a Controller (and a ‘Business’ under the CCPA) with respect to all client employee information collected through our Website. We operate as a ‘Processor’ (and a ‘Service Provider’ under the CCPA) with respect to all end user information collected via the Services.

  1. UK/EEA Residents Notice  

Residents of the United Kingdom (“UK”) and European Economic Area (“EEA”) are provided certain privacy rights under the UK and EU General Data Protection Regulations (“GDPR”).

Controller Designation:

Under the GDPR, we are designated as a ‘Controller’ with respect to all client employee information collected through our Website. We operate as a ‘Processor’ under the GDPR with respect to all end user information collected via the Services.

Cross-Border Data Transfers: 

All data is stored in the United States. As such, if you are a resident of the EEA, UK, or Switzerland, we may transfer to, and store the data we collect about you, to countries other than the country in which the data was originally collected, including the United States. Those countries may not have equivalent data protection laws as the country in which you provided the data. When we transfer your data to other countries, we will protect the data as described in this Privacy Policy and comply with applicable legal requirements providing adequate protection for the transfer of data to countries outside the EEA, UK, and Switzerland. We rely on Standard Contractual Clauses (“SCCs”) for the transfer of personal data to countries that have not received an applicable adequacy decision, as well as the UK’s ‘International Data Transfer Addendum’ to the SCCs.

We do not intentionally collect any personal information from children under the age of 18. If you are under the age of 18, please ask a parent or guardian for help in using our Website, App, and Services. If you believe we have obtained personal information associated with children under the age of 18, please contact us at privacy@vida.io and we will delete it.

Our Website, App, and Services may contain links to other websites or services. We do not exercise control over the information you provide, or is collected by these third-party websites. We encourage you to read the privacy policies or statements of the other websites you visit.

We may update this Privacy Policy from time to time. If we make material changes, we will post the updated Privacy Policy on this page with a ‘Last Updated’ effective date of the revisions.
